Effective on first sign-in. By signing in, You accept these terms.
1. Definitions. "amorphic" and the "Platform" mean the amorphic software platform and associated services operated by Peter Devine ("Licensor"). "You" means the individual or legal entity accessing the Platform under this trial licence.
2. Grant of Licence. Licensor grants You a limited, non-exclusive, non-transferable, revocable, royalty-free licence to access and use the Platform solely for Your internal evaluation during the trial period.
3. Evaluation Only. The Platform is provided for evaluation purposes only. You shall not use it for any production, commercial, or revenue-generating activity, nor provide it as a service to any third party.
4. Restrictions. You shall not, directly or indirectly, and shall not permit any third party to: (a) copy, reproduce, modify, translate, or create derivative works of the Platform or any part of it; (b) reverse engineer, decompile, disassemble, or attempt to derive the source code, structure, algorithms, data models, or underlying concepts of the Platform, except to the extent expressly permitted by applicable law that cannot be waived; (c) use the Platform, its output, documentation, designs, workflows, user interface, or any know-how obtained from it to build, train, fine-tune, assist, commission, or contribute to any product, service, or dataset that competes with or substantially replicates the Platform, whether directly or through any third party or automated system, for a period of thirty-six (36) months from the date of first access; (d) remove, alter, or obscure any proprietary, trade-mark, or copyright notices; (e) rent, lease, sell, sublicense, assign, or otherwise transfer any rights in the Platform; or (f) bypass, disable, or circumvent any security, access control, or usage-limiting measure.
5. Intellectual Property. The Platform, including all software, designs, patterns, colour systems, documentation, branding, and any derivatives or improvements thereof, is and remains the exclusive property of the Licensor. No rights are granted except those expressly set out in this licence. All rights not expressly granted are reserved.
6. Confidentiality. The Platform, its features, pricing, and all non-public information accessed during the trial are the Confidential Information of the Licensor. You shall (a) hold such information in strict confidence, (b) not disclose it to any third party, and (c) use it only for the evaluation purpose. This obligation survives termination of the trial for a period of five (5) years.
7. No Warranty. The Platform is provided "AS IS" and "AS AVAILABLE", without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted operation.
8. Limitation of Liability. To the maximum extent permitted by law, the Licensor shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or related to Your use of the Platform. The Licensor's total aggregate liability shall not exceed one hundred Euros (EUR 100).
9. Term and Termination. This licence commences on first sign-in and continues until terminated. The Licensor may suspend or terminate access at any time, for any reason or no reason, without notice. The restrictions in clauses 4, 5, 6, 8, 10, and 11 survive termination.
10. Audit Trail. You acknowledge that sign-in events, IP addresses, usage telemetry, and activity within the Platform may be logged and retained by the Licensor as evidence of acceptance of and compliance with these terms.
11. Remedies. You acknowledge that breach of clauses 3, 4, 5, or 6 would cause irreparable harm for which monetary damages would be inadequate, and that the Licensor is entitled to seek injunctive relief in addition to any other remedies available at law or in equity.
12. Governing Law. This licence is governed by the laws of Denmark. The courts of Denmark shall have exclusive jurisdiction over any dispute arising out of or in connection with this licence.
13. Entire Agreement. This licence constitutes the entire agreement between You and the Licensor regarding the trial and supersedes all prior discussions, understandings, and agreements on the subject.
